SPHIOR Ops Console for Monday

These Terms of Service ("Terms") govern your use of SPHIOR Ops Console for Monday (the "Service"), operated by SPHIOR ("we", "us", "our") and distributed via the monday.com marketplace. By installing or using the Service, you ("Customer") agree to these Terms.

1. Agreement

These Terms govern your use of the Service. By installing or using the Service you agree to these Terms and to our Privacy Policy at https://ops-console.sphior.com/privacy.

2. The Service

The Service provides board hygiene (duplicate cleanup, find & replace, bulk archive), export / backup to your own cloud, and recurring-item automation for monday.com. Features are gated by subscription plan (free / starter / pro / business).

3. Eligibility & accounts

You must have a monday.com account and the authority to operate on the boards you use the Service with.

4. Acceptable use

You are responsible for the actions you run and for having the rights to modify the affected boards. Destructive actions are preview-first and require your confirmation. You will not misuse the Service, attempt to bypass plan limits, or use it unlawfully.

5. Data & privacy

Your use is also governed by our Privacy Policy (https://ops-console.sphior.com/privacy). We do not retain your board data except short-lived Undo snapshots, which are encrypted and automatically deleted after 30 days.

6. Billing

Subscriptions and payments are handled by monday.com's monetization. Plan changes take effect according to monday.com's billing. Fees are as shown on the marketplace listing. monday.com's terms take precedence over these Terms with respect to billing, taxes, refunds, and payment disputes.

7. Intellectual property

The Service, including its software and branding ("SPHIOR"), is owned by SPHIOR. You retain all rights to your data.

8. Third-party services

The Service integrates with monday.com and, optionally, Google Drive. Your use of those services is subject to their terms. We are not responsible for third-party services.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind. Archiving is recoverable via monday.com's board Archive; however, we do not warrant that operations are error-free or that data will not be affected by your use, monday.com platform limitations (e.g. there is no un-archive API), or third-party services.

10. Limitation of liability

To the maximum extent permitted by law, SPHIOR will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost data or profits. Our total liability is limited to the fees you paid for the Service in the three (3) months before the claim.

11. Indemnity

You agree to indemnify SPHIOR against claims arising from your misuse of the Service or violation of these Terms.

12. Termination

You may uninstall the Service at any time. We may suspend or terminate access for abuse, security, or legal reasons. On termination, your stored configuration, tokens, and snapshots are deleted.

13. Changes

We may update these Terms; material changes will be posted here with a new effective date. Continued use constitutes acceptance.

14. Governing law

These Terms are governed by the laws of Japan, without regard to conflict-of-laws rules.
